Introduction
These Client Terms and Conditions govern the provision of staffing and placement services by Private Signature Care to client households. By engaging our services, you agree to be bound by these terms.
Private Signature Care is a service division of Uganda Muslim Diaspora CIC (CIC 17345186). References to "we", "us", or "our" refer to Uganda Muslim Diaspora CIC trading as Private Signature Care.
Our services
We provide introduction and placement services for private household staff. We act as an introduction agency only. We are not the employer of any candidate we introduce, and we are not responsible for the performance of any candidate following placement.
We will use reasonable endeavours to identify and introduce candidates who meet your stated requirements. We do not guarantee that we will be able to find a suitable candidate for every engagement.
Fees
Our fees are set out in the fee schedule provided to you before engagement begins. Fees are payable on confirmation of placement and are invoiced within 14 days of placement confirmation. Payment is due within 14 days of invoice.
All fees are quoted exclusive of VAT. VAT is charged at the prevailing rate where applicable. We reserve the right to charge interest on overdue invoices at the rate of 8% per annum above the Bank of England base rate.
Guarantee and rebate
All permanent placements are covered by a guarantee period as set out in our fee schedule. If a placement ends within the guarantee period for reasons covered by this clause, we will conduct a replacement search at no additional charge, or provide a pro-rata rebate of the original fee, at our discretion.
The guarantee does not apply where: the placement ends due to redundancy, restructuring, or a change in your household circumstances; the placement ends due to conduct or performance issues that were not disclosed to us prior to placement; or the placement ends due to the candidate's resignation for reasons unrelated to the role as described to us.
The guarantee does not apply to temporary or short-term placements. Full rebate terms are set out in the fee schedule provided to you before engagement begins.
Confidentiality
We treat all client information with absolute confidentiality. We will not disclose your identity, address, or personal details to any third party without your consent, except where required by law or where necessary to conduct vetting and background checks on candidates.
Your responsibilities
You are responsible for: conducting your own due diligence on any candidate introduced by us before making an offer of employment; complying with all applicable employment law, including the right to work checks, employment contracts, and payroll obligations; and ensuring that your household is a safe and lawful working environment.
We strongly recommend that you take independent legal advice before entering into any employment contract with a candidate introduced by us.
Limitation of liability
Our liability to you in connection with any placement is limited to the fee paid for that placement. We exclude all liability for any loss or damage arising from the conduct, performance, or actions of any candidate introduced by us, whether during or after a placement.
Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
Governing law
These Client Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from your engagement of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
